Disclaimer: Goldfinch agrees to furnish all materials, labor, equipment, supplies, and project management services necessary to complete the agreed-upon project scope. Acceptance of the quote, whether in writing or by verbal agreement, constitutes a binding contract between the Client and Goldfinch. Unless otherwise agreed to in writing or verbally prior to the commencement of work, payment in full is due within three (3) calendar days of project completion. Any delay in payment beyond the stated terms may be subject to additional fees, including but not limited to late charges, collection costs, and legal fees incurred in the enforcement of this agreement. All quoted prices include applicable Texas state and local sales and use tax, where required by law. Verbal agreements shall be deemed valid and enforceable to the same extent as written agreements under Texas law, pursuant to the Texas Business and Commerce Code § 26.01, provided the agreement does not fall under exceptions requiring a written contract (e.g., contracts for real estate, agreements not performable within one year, etc.). Both parties must clearly acknowledge and understand the terms prior to the start of work. For a verbal agreement to be binding, all five elements of a contract must be present: Offer – A clear and definite proposal is made by Goldfinch. Acceptance – The Client agrees to the terms as presented. Consideration – There is mutual exchange of value (e.g., payment for services). Mutual Intent – Both parties intend to enter into a legally binding relationship. Legal Capacity and Purpose – Both parties are legally capable of contracting, and the project is for a lawful purpose. By proceeding with the project based on an accepted quote whether written or verbal the Client agrees to all terms set forth herein.
